Selling your practice

Most owners only sell once. Here’s what it looks like with us, in plain terms, so there are no surprises.

What we're buying

When we buy a practice we’re buying three things: the clients and their recurring fees, the people who look after them, and your reputation with both. We pay for all three, and we protect all three.

How we value a practice

We value on gross recurring fees – the annual fees you can reasonably expect to keep billing – and apply a multiple that reflects how sticky the clients are, how much of the work is genuinely recurring, and how much depends on you personally. We’ll tell you our number after the first proper look at the figures, not after three months of due diligence.

How the price is paid

Every deal is shaped around the practice and what you want next. We’ll explain the structure in writing at the indicative offer stage so you can take advice on it early.

What happens to your clients

They keep the same service from the same people. Any changes we make are behind the scenes – better software, fewer manual steps, faster turnaround. We’ll agree with you how and when clients are told, and we’ll do it together.

What happens to your staff

We buy practices for the people in them. Our whole approach is to give the team modern tools so the routine work takes less time – not to cut heads to hit a number. Where there are changes to how people work, they’re explained and supported.

What happens to you

That’s up to you. Some owners want to hand over and go. Some want six or twelve months to see clients settled. Some want to keep a part-time role without the admin. All three work for us.

The timetable

Week 0
First conversation with Lisa.
Weeks 1–2
NDA, fee list and basic numbers; indicative offer.
Weeks 3–6
Heads of terms, due diligence, and the legal work.
Completion
On a date that suits you, your clients and the tax year.

Some sales take longer, usually because of leases, partners or timing on the seller’s side. That’s fine. We don’t put a gun to anyone’s head.

Things owners worry about

Will my clients find out before I'm ready?

No. Nothing is said to anyone outside the deal until you and we agree it’s time.

My software is a mess. Does that put you off?

The opposite. Practices with dated systems are the ones we can improve most, and we price that in as an opportunity, not a discount.

What about my office lease?

We’ll look at it case by case. Sometimes we take it on, sometimes the team goes remote or joins another of our practices when the lease ends. It’s rarely the thing that stops a deal.

Do I need a broker?

No, but you’re welcome to use one. We’re happy to work with brokers.

What if it's not a fit?

We’ll tell you quickly and honestly, and if we know a buyer who’d suit you better we’ll say so.
